
Tax Manager – Federal Mergers and Acquisitions - Transaction Integration and Corporate Restructuring

Our national Mergers and Acquisitions (M&A) Tax group is an advisory practice
with significant advancement opportunities. We advise private equity firms,
family offices, privately held companies and multinational corporations on the
tax aspects of planning, structuring and executing M&A transactions.
RSM US LLP is looking for a dynamic M&A Federal Tax Manager to join our national
Mergers and Acquisitions (M&A) – Transaction Integration and Corporate
Restructuring Tax group. This is a rapidly growing consulting practice with
significant advancement opportunities. We advise multinational corporations,
privately held companies, partnerships, and private equity firms on the tax
aspects of planning, structuring, and executing M&A transactions.
Within RSM’s Tax M&A practice, you will be responsible for the following job
duties, which are focus around three core concepts: Technical & Quality
Expertise, People & Talent Management, and Client Service/Business
Development.
Responsibilities
- Work as a part of a multi-disciplinary team that focuses on delivering post
close M&A tax transaction integration assistance inclusive Transaction Costs
Analysis for both covered and non covered transactions, tax Purchase Price
Allocation calculations, Section 382 Ownership Change Analysis and Limitation
Calculations.
- Assist clients with reorganizations and tax considerations for such
reorganizations such as Consolidated Stock Basis analysis, Earnings and
Profits analysis and Gain Calculations.
- Work with and assist other senior members of the M&A Tax practice with
various technical tax issues dealing with consolidated returns, S
Corporations, partnerships, and limited liability companies
- Managing multiple engagements simultaneously and working with all M&A
colleagues across the enterprise
- Develop, motivate, and train staff and senior level team members
Minimum Qualifications
- Bachelor’s degree in Accounting or a related field from an accredited
university
- One of the following is required: an active CPA license in the state of
residence or primary office; an active Enrolled Agent (EA) license; or an
active Attorney license
- Minimum of six years of tax experience in public accounting, with the ability
to effectively identify, sell, and deliver tax services to middle‑market
clients
- Strong computer skills, including proficiency in Microsoft Excel
- Ability to meet client service, quality, and performance expectations within
applicable deadlines and in accordance with firm and client standards
- Ability to communicate clearly, professionally, and effectively with firm
personnel and clients in person, by telephone, and through electronic and
written means
- Effective project management skills, including the ability to manage multiple
priorities, tasks, and projects simultaneously; meet deadlines; and maintain
accuracy and quality of work in a fast‑paced, client service environment
- Ability to work effectively in a professional office environment and, as
required by the role, at client sites, including the ability to sit for
extended periods of time and work at a computer and other standard office
equipment
- Ability to maintain a consistent onsite presence during core business hours,
including regularly reporting to a firm office location and traveling to
client sites as required, with access to reliable transportation
- Ability to work extended and/or non‑standard hours during peak periods or as
necessary to meet client, project, or firm business needs
Preferred Qualifications
- Knowledge of a broad range of corporate tax matters across various industries
- Master’s degree in Taxation

At RSM, an employee’s pay at any point in their career is intended to reflect
their experiences, performance, and skills for their current role. The salary
range (or starting rate for interns and associates) for this role represents
numerous factors considered in the hiring decisions including, but not limited
to, education, skills, work experience, certifications, location, etc. As such,
pay for the successful candidate(s) could fall anywhere within the stated range.
Compensation Range: $133,500 - $268,400
Individuals selected for this role will be eligible for a discretionary bonus
based on firm and individual performance.
