Producers Midstream Management LLC is a private equity backed midstream service provider based in Dallas, TX.

**SUMMARY**

The Director of Tax role is knowledgeable and detail-oriented with experience in the oil and gas (preferably midstream) industry, specifically with Federal, State and Local tax compliance for complex partnership entities in multi-company enterprises. Experience with Texas, Oklahoma and New Mexico is helpful. This position will serve as the primary point of contact between the company and its third-party tax preparers to ascertain compliance with all applicable laws and regulations and will serve as the company’s interface with its shareholders for all matters related to tax. This is a part-time, hybrid position and may be based out of either the Dallas or Houston office.

**DUTIES AND RESPONSIBILITIES**

**Essential and other important responsibilities and duties may include, but are not limited to, the following**:

  • Tax Compliance and External Preparer Oversight
  • Manage third-party tax preparers, including coordinating information requests, reviewing returns and workpapers, resolving comments, evaluating proposed tax positions, monitoring deadlines, and coordinating final approvals with Company leadership before filing.
  • Develop, maintain, and manage the Company’s tax compliance calendar, including federal, state, local, ad valorem, sales and use, gross receipts, severance, franchise, estimated payment, extension, notice, and shareholder reporting deadlines.
  • Prepare, review, and timely provide Company information to third-party preparers and ensure final tax reports, filings, and supporting schedules are accurate, complete, and compliant.
  • Monitor federal, state, and local tax law changes and assist with interpreting their impact on the Company, including recommended changes to internal accounting capabilities, processes, and reporting requirements.

**Partnership and Shareholder Tax Reporting**

  • Review partnership agreement provisions, tax allocation methodologies, capital account maintenance, tax basis schedules, book/tax differences, and related partner reporting assumptions to ensure tax reporting is consistent with governing agreements and Company economics.
  • Coordinate review and timely delivery of partner tax reporting, including Schedule K-1s, partner tax packages, tax basis and capital account information, state source income allocations, and responses to shareholder or investor tax inquiries.
  • Serve as the Company’s primary tax point of contact for shareholder tax inquiries and coordinate communications with tax authorities through Company leadership and external advisors, as appropriate.

**Tax Accounting, Documentation, and Controls**

  • Review tax-related general ledger accounts, accruals, reconciliations, and supporting schedules prepared by the accounting team, and coordinate required adjustments, reclassifications, or support with finance and accounting personnel.
  • Establish and maintain review-ready tax workpapers, reconciliations, support packages, and retention protocols sufficient to support tax return positions, financial statement audits, shareholder inquiries, and tax authority examinations.
  • Support internal controls over tax-related processes, including review and approval protocols, documentation standards, reconciliations, segregation of responsibilities, and timely escalation of tax risks or issues.

**Tax Planning, Advisory, and Process Improvement**

  • Provide tax input on transactions, entity structuring, acquisitions, divestitures, financing arrangements, intercompany transactions, commercial agreements, and other strategic initiatives, including coordination with legal, accounting, finance, and external advisors.
  • Assist with tax planning, cash tax forecasting, estimated tax payments, tax distributions, and communication of expected tax obligations to management and partners.
  • Evaluate opportunities to migrate tax reporting or recurring tax workstreams in-house, including designing processes, templates, controls, data flows, and review procedures to improve accuracy, efficiency, cost effectiveness, and scalability.
  • Coordinate with internal teams and third-party consultants as needed for tax-related matters.

**Tax Notices, Audits, and Other Responsibilities**

  • Manage tax notices, audits, examinations, and inquiries from federal, state, and local tax authorities, including tracking deadlines, coordinating responses with internal teams and external advisors, documenting positions taken, and ensuring timely resolution.
  • Other duties as assigned.

**QUALIFICATIONS**

**Required Qualifications**

  • Bachelor’s degree in Accounting, Finance, Tax, or a related field required.
  • Strong understanding of partnership taxation, including capital accounts, tax basis, allocations, partner reporting, Schedule K-1s, and tax implications of governing agreements.
  • Demonstrated experience managing external tax preparers, reviewing third-party-prepared returns and workpapers, resolving comments, and holding advisors accountable for deadlines and quality.
  • Proven ability to manage tax compliance calendars, filing deadlines, estimated payments, extensions, notices, and other time-sensitive tax workstreams.
  • Ability to prepare and review organized, supportable, and review-ready tax workpapers, reconciliations, and documentation.
  • Ability to communicate complex tax matters clearly and practically to executives, accounting and finance personnel, legal counsel, external advisors, and shareholders.
  • Advanced Microsoft Excel skills.
  • Excellent attention to detail, organizational skills, analytical judgment, and problem-solving ability.
  • Ability to work independently, manage multiple priorities under deadlines, and collaborate effectively with internal and external stakeholders.
  • Demonstrated ability to maintain confidentiality over sensitive Company, shareholder, ownership, tax, and financial information.

**Preferred Qualifications**

  • CPA, JD, LL.M. in Taxation, or equivalent senior tax experience preferred.
  • Experience with oil and gas or midstream tax matters, including pipeline, gathering, processing, compression, ad valorem/property tax, severance or production-related taxes, and multi-state apportionment or sourcing issues, preferred.
  • Working knowledge of state and local tax laws in Texas, New Mexico, and Oklahoma preferred.
  • Experience with ad valorem/property tax preferred.
  • Experience with tax systems and NetSuite accounting software preferred.
  • Personal fit with Company culture and a practical, business-oriented approach to tax matters preferred.

Any combination of experience and training that would provide the required knowledge and abilities is qualifying.

**SUPERVISION RECEIVED AND EXERCISED**

  • Reports to the CFO
  • Works independently with minimal supervision including self-review of duties performed.

**WORKING CONDITIONS**

Environmental Conditions

  • In office role 2-3 days per week.
  • Working indoors primarily at a workstation using a computer and standard office equipment.
  • Typically, 15 – 20 hours per week with adjustments for seasonality related to periodic work streams related to both Federal and SALT reporting.

**PHYSICAL CONDITIONS**

  • Essential and other important responsibilities and duties require maintaining physical condition necessary for:
  • Remaining in a stationary sitting position for prolonged periods of time.
  • Using hands and eyes to use computer.
  • Communicate with both internal and external contacts.
