From the employer**Who we’re looking for**
We are looking for a Private Assets Tax Manager to support the Head of Private Assets Tax in providing second-line tax oversight across Schroders’ private asset funds and business. Reporting into Group Tax, the role plays a key part in ensuring that private asset products, structures and associated tax positions are reviewed and assessed in line with the Group Tax Risk Framework, established tax risk appetite, and escalation protocols.
The successful candidate will provide pragmatic tax insight and independent challenge, support risk-based reviews, contribute to governance and reporting materials, and identify issues that may require escalation to the Head of Private Assets Tax. Working closely with stakeholders across the business, the role helps promote robust tax risk management and effective governance across the private assets platform.
This is a second-line oversight role and does not involve first-line responsibility for transaction structuring, execution, implementation, or business decision-making. It also does not hold ownership of the overall Private Assets governance framework.

**What you'll do**
- Support the Head of Private Assets Tax in applying the Group Tax risk framework and agreed tax risk appetite to private asset products and structures.
- Provide second-line tax input and undertake risk-based review of complex or higher-risk transactions and tax positions.
- Contribute to tax guidelines and standard positions for fund and investment structures, including key tax guardrails aligned to agreed risk appetite.
- Review investor terms, side letters and structuring proposals where these may depart from agreed principles or create material tax risk.
- Assist in the assessment of proposed departures from Group Tax policy or agreed tax principles, documenting implications and escalating to the Head of Private Assets Tax where required.
- Help maintain visibility of early-stage structuring activity, including through relevant governance papers and forums where appropriate, in order to identify matters requiring second-line review, challenge or escalation.
- Contribute to the application of agreed principles and expectations for external adviser engagements, and provide input or review for complex or high-risk matters where required.
- Help maintain governance materials and control tools, including playbooks, checklists, review thresholds and escalation triggers, to promote consistent tax risk management.
- Review material adviser outputs and key tax positions on a risk-based basis, focusing on areas of judgement, complexity or structural significance.
- Provide second-line oversight of structuring implementation by helping confirm that key tax-sensitive steps are carried out in line with agreed design and governance expectations.
- Help apply governance checkpoints across the fund lifecycle, including structuring, launch, post-implementation and significant change events, to facilitate timely review and escalation where needed.
- Promote tax awareness across private asset stakeholders by helping clarify escalation triggers, governance expectations and the distinction between first-line activity and matters requiring Group Tax input.
- Monitor tax rule changes and emerging risks relevant to private asset funds and structures, escalating material developments and contributing to updates to governance materials and guidance.
- Assist in tracking material tax risks, disputes and tax authority interactions relevant to private asset funds and structures, ensuring appropriate documentation, follow-up and visibility for the Head of Private Assets Tax.
**The knowledge, experience and qualifications you need**
- Professional qualification in tax (e.g., CTA, ACA) or equivalent
- Relevant experience in funds taxation, in particular private asset funds and structures.
- Experience monitoring legislation and supporting impact assessments and implementation of process changes.
- Strong understanding of private asset fund structures and relevant tax issues at portfolio, fund/structure and investor levels.
- Ability to identify material tax risks and apply sound judgement on matters requiring review or escalation.
- Ability to support effective review and challenge of tax analysis and structuring matters.
- Good understanding of tax governance, risk management and escalation principles.
- Strong communication and stakeholder management skills.
