Position Title: Senior Tax Director, Private Capital

Location: Dallas – Hybrid

Your role

Digital Realty Trust, Inc. (NYSE: DLR) is looking to add a Senior Tax Director, Private Capital to its global tax team.

The newly created role will serve as the tax leader for Digital Realty’s strategic private capital that includes close-end

and open-ended real estate fund vehicles and joint-ventures with institutional investors. This role is responsible for

overseeing all tax matters across the fund lifecycle — from formation and capital raising to acquisition, operations,

and ultimate disposition and exits of the investments.

The ideal candidate brings deep technical expertise in REIT taxation, Subchapter K partnership taxation, and fund

structuring, combined with the ability to collaborate cross-functionally with acquisitions, finance, legal, asset

management, and investor relations. This role requires both strategic oversight and hands-on execution. The role will

report to VP, Tax and is expected to lead a team of direct reports.

Responsibilities

What you’ll do and key responsibilities

Fund & REIT Tax Strategy

 Serve as the internal subject matter expert on REIT qualifications of the subsidiary REITs within the structure

 Oversee REIT annual qualification testing (income tests, asset tests, distribution requirements, prohibited

transactions) including advising on structures, TRSs, and blocker entities

 Manage tax structuring for open-end fund, close-end fund, co-invest and joint venture platforms, as

applicable, for different investor profiles

 Prepare and organize REIT due diligence files in connection with potential REIT share sales in the event of

dispositions

Transaction & Deal Structuring

 Provide tax structuring advice on acquisitions, dispositions, recapitalizations, refinancings, and restructurings

 Lead tax diligence efforts on property and platform acquisitions within the fund structures

 Model tax impacts of transactions and advise on optimal structuring alternatives

 Oversee partnership allocations (Section 704(b), Section 704(c), targeted capital allocations) for the funds

including underlying joint-venture investments

Compliance & Reporting

 Oversee all aspects of tax related to the strategic capital vehicles including tax compliance, financial

reporting, withholding tax calculations and observing tax covenants of investors’ side letters

 Lead financial reporting under ASC 740 (including uncertain tax positions and FIN 48 analysis) for the funds’

financial statement

 Coordinate tax reporting for financial statements and investor reporting packages including analysis of

deferred taxes impact on the net asset value of the fund vehicles

 Manage and maintain relationships with external tax advisors and compliance providers

Investor & Stakeholder Support

 Respond to investor tax inquiries, including HWN individuals, tax-exempt, foreign, and institutional

investors

 Partner with investor relations on tax disclosures and offering documents

 Provide tax input on PPMs, side letters, and subscription agreements

 Collaborate with finance, acquisitions, legal, and asset management teams to evaluate tax consequences of

strategic initiatives

Risk Management & Governance

 Monitor tax law developments impacting REITs and real estate funds

 Implement internal controls around tax processes

 Manage tax audits and interactions with taxing authorities

 Ensure compliance with state nexus, withholding, and composite filing requirements

The duties and responsibilities described herein are not exhaustive and may evolve based on business needs and

organizational priorities.

Qualifications

 Bachelor’s degree in accounting or related field; Law/MST/CPA preferred.

 Minimum of 12 years of progressive tax experience in public accounting or similar industry roles

 Deep technical knowledge of REIT, partnership and inbound taxation for non-U.S. investors, including

compliance and reporting strategies

 Strong communication skills with the ability to present complex tax matters to senior leadership and non-tax

stakeholders

 Proven leadership and team/project management experience
