Your work will include, but not be limited to

  • Staff will be responsible for tax due diligence projects, building client relationships, and staff development,
  • Possess and continuously increase understanding of complex tax issues, with a specialty in the merger and acquisitions subject area to deliver tax solutions.
  • Strong written and verbal English communication skills.
  • Demonstrate strong analytical skills, including the ability to apply tax law to varying fact patterns and reach well-supported conclusions.
  • Managing the flow of information within a narrow timeframe.
  • Perform a comprehensive review of historical income tax (both federal and state/local) and non-income tax (i.e., payroll tax, property tax, gross receipt tax, sales and use tax, and unclaimed property) compliance and identify any tax exposures.

Review tax due diligence reports as they pertain to U.S. taxes for C corporations, S corporations, and partnerships, including addressing senior-level review comments.

Lead tax due diligence calls with the internal tax team, clients, and targets.

Evaluate the potential tax benefits of using various acquisition structures (i.e., legal entity structure analysis, modeling the anticipated tax benefits of the contemplated transaction, etc.).

Write U.S. tax alerts for both internal and external use.
