Position Overview
Reporting to the CAO, the Director of Tax will lead, build, and optimize all aspects of Dutch Bros tax function. This role will manage external service providers to ensure income tax compliance, the preparation of the quarterly income tax provision, and administer all tax matters related to the company’s Up-C structure. This role will also oversee the indirect tax function as well as ensure compliance with laws and regulations, while supporting the business during a period of rapid growth.
Qualifications
Bachelor’s degree in Accounting, Finance or related field and a CPA certification, required Master’s in Taxation (MST) or JD/LL.M. in Taxation, a plus Nine+ years of corporate income tax
experience
in industry and Big 4 public accounting, required Demonstrated expertise in U.S. federal and state income tax, sales & use tax, and ASC 740, required
Experience
with Subchapter K and/or Up-C’s, a plus
Experience
managing outsourced tax compliance and provision processes and effectively overseeing external advisors, preferred Key
Responsibilities
Lead all aspects of Dutch Bros tax function including compliance, tax accounting, planning, and risk management. Mange the third-party preparation of the quarterly income tax provision in accordance with US GAAP (ASC 740). Responsible for the review and approval of the quarterly income tax provision including execution of SOX controls.
Oversee the accurate and timely preparation and filing of all federal, state, and local income tax returns across corporate and partnership entities through the use external providers. Manage and optimize the outsourcing of the tax compliance processes. Oversee the indirect tax function, including identifying planning opportunities and the preparation and filing of all sales and use tax, property tax, and other transaction-based tax returns across a growing multi-state footprint.
Partner with external providers, finance, and legal teams to manage the tax and financial reporting implications of the company’s Up-C structure, including unit exchanges, tax distributions, and payments under its tax receivable agreements (TRA’s). Monitor legislative and regulatory developments affecting partnership taxation, corporate taxation, and the QSR sector; assess and implement appropriate responses.
Lead tax audits and inquiries from federal, state, and local authorities, coordinating closely with external advisors. Assist with tax related matters of M&A, treasury, and other tax initiatives or ad hoc projects, on an as needed basis Collaborate with finance, legal, operations, marketing, and technology teams to provide tax guidance and support for business initiatives. Develop and maintain tax policies, procedures, and internal controls to support a scalable and compliant tax function.
Compensation: Starting total compensation is $255,750, inclusive of base salary, target bonus, and equity.
